When we started Audit Integrity it was a single thought – there has to be a better way.

In the wake of the huge, media-grabbing scandals of the early part of this decade the real surprise was not that there are executives willing and able to abuse shareholders, it was that they went undetected by the best analysts in the business.

That better way was through quantitative forensic analysis of corporate behavior, as measured by a wide range of accounting and governance practices. By applying forensic identification – “the application of science and technology to identify objects from the traces they leave” – a forensic analyst can uncover important evidence beyond the smoking gun without waiting for a confession. That is the basis of the AGR®, which has proven to be the best measure of fraud-related risk in the market.

Protection of the stakeholders is the explicit purpose of the information provided by Audit Integrity. I use the Chairman’s Corner as a way to speak to the various ways Audit Integrity’s forensic approach can help corporate stakeholders identify and manage risk, and to some of the newsworthy aspects of corporate behavior.

There will always be companies that abuse the trust placed in them, in a way that is meant to go undetected. We can help, and I hope the readers of the Chairman’s Corner can benefit from our view of a sometimes upside-down world.

Our Mission

As the devastating effects of the Enron collapse unfolded, one fund manager was quoted as saying, “If only I had known.” Six years later, as some of America’s largest financial institutions imploded, many commentators remarked, “Who could have seen this coming?”

Audit Integrity’s founders believed the answer was to be found in corporate behavior – patterns in governance and accounting practice that culminate in negative events such as SEC enforcement action, litigation, fraud, and earnings restatements. They set out to determine whether this behavior could be modeled prior to the occurrence of negative events.

After looking at hundreds of indictments and examining thousands of combinations of factors, a pattern emerged. They found that corporate integrity can, in fact, be quantified.

Integrity in corporate management — observed in transparency, full disclosure, honesty, and trustworthiness — was considered a conceptual element and had not been measured in traditional risk models. Analysis showed that lack of integrity was, and continues to be, predictive of fraud.

A statistically-based analysis of public information – data extracted from a company’s own filings – incorporates numerous traces of forensic information. These in turn produce an objective report not unlike a blood test, highlighting specific areas of concern. The combination of concerns may signal extreme risk.

The results are summarized as an Accounting and Governance Risk rating (AGR®). The AGR is absolute, and is not modified by any judgmental or subjective interpretation. It is used to save time, and improve accuracy when measuring risk. When combined with traditional risk models, AGR increases the predictivity of fraud, enforcement action, bankruptcy, litigation, poor price performance, and other negative events.

Conversely, a high AGR score is indicative of honesty, transparency, and trustworthiness in corporate management.

By exposing areas of undetected risk, Audit Integrity’s models enable stakeholders to choose investments and alliances that are transparent and trustworthy.

James A. Kaplan, CFA - Chairman and Founder

Jim Kaplan is well known for his groundbreaking application of quantitative techniques to problem-solving in finance, and as a leading proponent of Modern Portfolio Theory.

In 1979, Mr. Kaplan founded Capital Management Sciences (CMS), serving as President until 1999 and establishing CMS as the world’s top purveyor of fixed income portfolio analytics, with more than 500 financial clients. During his tenure, the firm introduced CMS BondEdge, a recognized leader in investment technology and the chief independent source of research, analytics and valuation tools for the global bond market.

As founding director of Marketwatch following the sale of CMS to Interactive Data Corporation, Mr. Kaplan helped realize the Internet’s potential as a delivery mechanism for real-time market data information. Among other ventures, he founded the leading luxury travel destination site, Luxury Link.

In the wake of the notorious scandals in the early years of this decade, Mr. Kaplan founded Audit Integrity to identify risks in financial reporting and corporate governance practices.

Mr. Kaplan received his Bachelor of Arts Degree in Anthropology from the University of Colorado and a Masters of Business Administration from California State University. He is also a Chartered Financial Analyst.

Jack Zwingli - Chief Executive Officer

Jack has led businesses both large and small to notable success. Over a decade at Standard & Poor’s, Jack had overall management responsibility for many of S&P’s well-known business lines and products, achieving strong top-line growth and global expansion. Some of the many business information services Jack managed include the Compustat financial database services, the equity analytical group responsible for producing stock ratings and Stock Reports, and S&P global indices—including the company’s venerated “S&P 500 Index.”

As CEO of Vantra Group, Inc, a software and ASP business providing online brokerage technology, Jack led the company to a market-leading position and successful sale.

Jack also held management positions in marketing and product development at Dun & Bradstreet and Automatic Data Processing.

Jack holds a BS in Marketing from Indiana University and an MBA from Rutgers University.

David Stoner (1958-2007) - President and Co-Founder (in memoriam)

Prior to co-creating Audit Integrity, Dave Stoner held a number of key development and technology positions for Wall Street and financial services firms. He began his career in the Management Information Systems division of Arthur Anderson & Co., before moving to Salomon Brothers to run the structured finance software development group. Mr. Stoner then held senior positions in structured finance at Shearson Lehman Hutton and Nomura Securities International in New York.

Following his work on Wall Street, Mr. Stoner founded and ran Artisan Analytics, a structured finance software and analytics firm which developed major software products in support of several leading financial institutions. He was also Lead Database Architect of HelloBrain, an Internet company focusing on connecting engineers and developers with companies requiring new product development, and at the San Diego Supercomputer Center (SDSC).

Mr. Stoner graduated from Harvard University in 1983 with a Masters degree in City and Regional Planning and from the University of California, Irvine, in 1981 with a Bachelors degree in Economics.

John Condon - Managing Director and Chief Sales Officer

With deep roots in the business and financial information services markets, John led sales teams at both Moody’s and its spin-off successor company, Mergent, Inc. for over 20 years prior to joining Audit Integrity.

John Condon represented Moody’s Financial Information Services (FIS) Group, rising to Vice President – National Sales Manager. During his tenure as SVP-Sales at Mergent, Inc., he was instrumental in establishing brand awareness, recruiting and training sales and client services staff and driving new product revenue having a significant impact on the successful emergence and subsequent growth of Mergent, Inc.

Mr. Condon holds a BS in Political Science from St. Michaels College Colchester, VT.

Agnes Grunfeld, CFA - Managing Director and Senior Research Analyst

For the past 30 years Agnes Grunfeld has specialized in quantitative analysis of fixed income securities, portfolio management, and associated software development and
analysis on companies and topics of interest, and contributing to the development and enhancement of our proprietary quantitative models.

Before joining Audit Integrity, Ms. Grunfeld had been with Citigroup Investments and Capital Management Sciences, providing advanced investment applications quantitative analytic support to fixed income traders, portfolio managers, credit research and risk managers. Earlier in her career, she worked at L.F. Rothschild, Unterberg & Towbin as a credit analyst, and was an equity analyst for Goldman Sachs.

Ms. Grunfeld’s’ educational background is in mathematics. She holds a BA from Brooklyn College of CUNY and a Masters from Columbia University and is a Chartered Financial Analyst.

Daniel Wang - Chief Technology Officer

Before joining Audit Integrity in 2004, Daniel Wang served as CTO and VP of Software Development at Xdrive, Inc., now an AOL company. He led Xdrive’s engineering and product management efforts to deliver storage and collaboration software for some of the world’s biggest telecom operators. At the same time, Mr. Wang was responsible for the operations of Xdrive’s flagship consumer data service with over 10 million subscribers – the largest of its kind.

Prior to Xdrive, Mr. Wang co-founded Lucerne Systems as a provider of hosted content management software for enterprises, managed the business from startup to profitability in less than a year, and engineered its eventual acquisition by Internet portal Business.com. Previously, at nCommand, Inc., he led the development of a graphical workflow engine powered by XML technologies, an industry first. Mr. Wang has also held senior engineering positions at Computer Associates and the Disney Internet Group.

Mr. Wang earned his Bachelor’s and Master’s degrees in Computer Science from UC San Diego and SDSU, respectively. He is also a council member of the non-profit VSPR advisory group, where he focuses on technology and security issues surrounding electronic balloting.

Laurie S. Adami - Board of Directors

Laurie Adami began her career in 1982, employed in the trust department of Bank of New England in Boston in fixed income portfolio management. In 1984, she relocated to Los Angeles to work for Capital Management Sciences (CMS) a provider of fixed income analytical software. She played various roles over the years as manager of client services, sales and marketing. In 1996 Ms. Adami was promoted to Chief Operating Officer of the company. In 1999, when the founder, James Kaplan, retired from CMS, she assumed the role of President. In 2001, CMS merged with Interactive Data and Laurie continued to manage the division. After twenty four years with the company, she stepped down from her role in September 2008.

Ms. Adami received her undergraduate degree from Colgate University and presently lives in Santa Monica, CA with her husband and son.

Dr. Carla Hayn - Board of Directors

Dr. Carla Hayn is a professor in Accounting at UCLA Anderson School of Management and the senior associate dean of the Executive MBA and Fully Employed MBA Programs.  She holds a Ph.D. in accounting and finance from the University of Michigan.

Professor Hayn’s research is in the areas of financial reporting and disclosures, effect of accounting numbers on stock prices, the economic consequences of taxes and tax reporting, mergers and acquisitions, as well as disclosure issues, corporate valuation and risk assessment.  Prior to her academic career, Dr. Hayn held the position of Chief Financial Analyst for the State of
Florida Legislature and served as a commercial loan officer in a commercial bank.

Dr. Hayn is the co-coordinator (with Professor Al Osborne) of the Directors’ Training and Certification Program. Prior to joining UCLA, she was a faculty member of the Merage School of Business at the University of California-Irvine and the Kellogg Graduate School of Management at Northwestern University, where she held the Coopers & Lybrand fellowship in Mergers & Acquisitions.

Joseph G. Reichner - Board of Directors

Joe Reichner began his career in 1969 with Andersen Worldwide. Over the years he rose through the ranks as an auditor, management consultant, member of senior management, and board member. His Andersen career culminated as Worldwide Managing Partner in charge of Industry Specialization and Business Consulting, reporting to the CEO.

Since leaving Andersen in 2000, Mr. Reichner has served as a Senior Vice President of Alliances and Business Development of a software and services company, and built and sold a successful business advisory practice. He has also served as a board advisor and/or board member of several private and public companies including Advanta Corporation, Universal Business Matrix, and several others.

Mr. Reichner is a native of Philadelphia and currently resides in both Rancho Santa Fe, California and Cape May County, New Jersey.

Walter Smiechewicz - Chief Consultant, Governance and Risk

Walter Smiechewicz is a specialist in the design and implementation of internal audit protocols for U.S. and international companies. His work in enterprise risk assessment was recognized as “best in class” in a 2006 case study by the Institute of Internal Auditors, which has twice granted him it’s Recognition of Commitment Award. He has been published in IIA’s Internal Auditor Magazine, the Journal of Banking and Finance, NACD’s Directors Monthly, Fraud Magazine, Financial Executive, and Best’s Review.

Mr. Smiechewicz’s professional background includes seven years of international experience with Deloitte & Touche; another seven as Senior Vice President/Internal Audit with Keycorp; Chief Risk Officer and General Auditor of Old Kent Financial Corporation; and Senior Managing Director/Enterprise Risk Assessment with Countrywide Financial until he resigned in 2007 due to disagreement with the company’s direction.

A frequent guest speaker on risk assessment, he is a member of IIA; Financial Executives International; Professional Risk Managers International; AACSB Professionally Qualified Faculty; and the National Association of Corporate Directors. He has also advised charitable organizations, including the Girl Scouts of America, Union Rescue mission, and United World Mission (Madras, India).

Mr. Smiechewicz is a CPA (non-practicing) and holds a BBA Accounting from Cleveland State University, as well as an M. Divinity from Columbia International University.

Dr. Walter N. Torous - Financial Economist

Walter Torous is founding director of the Ziman Center for Real Estate and Professor of Finance at UCLA Anderson School of Management.  He teaches managerial finance, real estate finance, and empirical methods in finance. Dr. Torous’ research interests include the pricing of financial instruments (options, future, risky debt, mortgages), the reorganization of financially distressed firms, as well as statistical issues in finance. 

Dr. Torous previously taught at the University of Michigan and the London Business School. His consulting clients include the U.S. Department of Housing and Urban Development, the Federal Home Loan Mortgage Corporation, and various thrifts, banks and other financial institutions.
